Terms of Service Last updated: 19 March 2026 These Terms of Service (“Terms”) govern your access to and use of the CarboGrid platform (“CarboGrid”, “we”, “us”, or “our”), including all associated applications, services, APIs, and websites (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. ⸻ 1. Overview of the Platform CarboGrid is a carbon market infrastructure platform designed to support the design, operation, and governance of carbon markets and related systems, including: • Registry and credit lifecycle management • MRV (measurement, reporting, verification) workflows • Verification and audit processes • Marketplace and settlement functionality • Financial infrastructure, including billing and reconciliation • Data transparency and auditability tools CarboGrid provides infrastructure and tooling only. We do not act as a broker, exchange, financial advisor, or regulatory authority. ⸻ 2. Eligibility You may use the Platform only if: • You are legally capable of entering into binding agreements • You are acting on behalf of an organisation or authorised entity • You comply with all applicable laws and regulations If you use the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. ⸻ 3. Accounts and Access To use certain features, you may be required to create an account. You agree to: • Provide accurate and complete information • Maintain the confidentiality of your login credentials • Notify us immediately of any unauthorised access You are responsible for all activities conducted through your account. We reserve the right to suspend or terminate accounts that violate these Terms. ⸻ 4. Use of the Platform You agree to use the Platform only for lawful and authorised purposes. You must not: • Use the Platform for fraudulent or misleading activities • Interfere with the security, integrity, or performance of the Platform • Attempt to gain unauthorised access to systems or data • Reverse engineer, decompile, or attempt to extract source code • Use the Platform in violation of applicable carbon market or financial regulations You are responsible for ensuring that your use of the Platform complies with all relevant regulatory frameworks. ⸻ 5. Data and Content 5.1 Your Data You retain ownership of all data you submit to the Platform (“User Data”). By using the Platform, you grant CarboGrid a limited license to: • Store, process, and transmit your data • Provide and improve the Platform • Generate aggregated, anonymised insights 5.2 Responsibility for Data You are solely responsible for: • The accuracy of data submitted • Compliance with applicable reporting and regulatory standards • Ensuring appropriate permissions for any data you upload CarboGrid does not verify the accuracy of submitted data unless explicitly agreed. ⸻ 6. Carbon Credits and Market Activity CarboGrid provides infrastructure for managing carbon-related activities but: • Does not issue or guarantee carbon credits • Does not validate environmental claims • Does not act as a counterparty in transactions • Does not provide financial, legal, or regulatory advice All carbon market activities conducted using the Platform are the responsibility of the relevant users and participants. ⸻ 7. Audit, Transparency, and Records The Platform may provide audit logs, transparency tools, and public or shareable records. You acknowledge that: • Audit records reflect system activity but may depend on user-submitted data • Transparency features do not replace independent verification • You remain responsible for compliance, reporting, and validation ⸻ 8. Fees and Commercial Terms Use of certain features may be subject to fees, subscription plans, or commercial agreements. Where applicable: • Fees will be defined in a separate agreement or pricing schedule • You agree to pay all applicable charges • Payments are non-refundable unless otherwise specified Failure to pay may result in suspension of access. ⸻ 9. Intellectual Property The Platform, including all software, design, content, and technology, is owned by CarboGrid or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms. However, you acknowledge that: • No system is completely secure • You are responsible for your own internal security practices • You must report any suspected security incidents promptly ⸻ 12. Availability and Changes We aim to provide a reliable and high-availability Platform but do not guarantee uninterrupted access. We may: • Modify, update, or discontinue features • Perform maintenance or upgrades • Change the Platform at our discretion We will make reasonable efforts to notify users of significant changes. ⸻ 13. Third-Party Services The Platform may integrate with or rely on third-party services. CarboGrid is not responsible for: • The availability or performance of third-party services • Data handled outside the Platform • Any losses resulting from third-party dependencies ⸻ 14. Disclaimers The Platform is provided “as is” and “as available.” To the fullest extent permitted by law: • We make no warranties regarding accuracy, reliability, or suitability • We do not guarantee regulatory compliance outcomes • We do not guarantee financial or environmental results Use of the Platform is at your own risk. ⸻ 15. Limitation of Liability To the maximum extent permitted by law: CarboGrid shall not be liable for: • Indirect, incidental, or consequential damages • Loss of profits, data, or business opportunities • Any decisions made based on Platform data Our total liability shall not exceed the fees paid by you in the preceding 12 months. ⸻ 16. Indemnification You agree to indemnify and hold harmless CarboGrid from any claims, damages, or liabilities arising from: • Your use of the Platform • Your data or content • Your violation of these Terms • Your breach of applicable laws or regulations ⸻ 17.
